BINDING ARBITRATION

If no resolution is reached within thirty (30) calendar days of the delivery of the written notice, either party may then elect to exclusively and finally resolve the dispute by binding arbitration under the Rules of Conciliation and Arbitration of the International Chamber of Commerce (ICC Rules). The arbitration shall be held in Vancouver, British Columbia, Canada, in English.

Each party shall appoint one arbitrator, and a third arbitrator shall be selected by the two appointed arbitrators. The arbitration proceedings shall be confidential. Any arbitration decision shall be final and binding, with no right of appeal.

YOU AGREE TO WAIVE YOUR RIGHT TO TRIAL BY JURY IN ANY PROCEEDINGS.
